Who you are contracting with

Payment for a key, a subscription or credits is taken by Paddle as the merchant of record, under Paddle's own buyer terms. These Terms cover the licence to use Kolwen and Kolwen's own policies; the purchase contract itself sits with Paddle.

Age

You must be at least 18, or the age at which the law of the place where you are lets you consent, whichever is higher. At sign-up you confirm this. Kolwen does not ask for, or keep, an image of any identity document. If the way an account is used shows that its holder is under that age, the account is disabled and the unused part is refunded.

Outputs and training

You own the Outputs you generate. Kolwen assigns to you any right, title and interest it has in them, if any, and claims no licence back. Outputs may not be unique: Kolwen may generate similar outputs for other users, and the assignment gives you no right against that.

Keys, subscriptions and credits

A key is a time-boxed licence to use Kolwen, sold once through Paddle. It gives you exactly what a subscriber has for the same number of days: key and subscription differ in how they are paid for, not in what they unlock. A subscription renews until you cancel it. Credits are prepaid units of Kolwen's own metered service: they are used only at Kolwen, cannot be moved to anyone else, and cannot be cashed out.

A key is a licence to consume, not a thing you own. It is non-transferable and binds to your account when you activate it. Before activation a key can be given as a gift; after activation it is yours alone.

Limits on keys

These limits exist to stop bulk buying for resale, and are set at what one household should need.

4 keys per account per sale window, or per rolling 30 days (all key lengths counted together).
A key adds time to your account (keys stack), up to a 36-month ceiling.
An unredeemed key expires 12 months after purchase.

Ending the contract

By Kolwen without cause. Kolwen refunds the unused part: a key's remaining days, a subscription's remaining current period, and unused credits at the price paid.

By Kolwen for your fault (a breach of the acceptable-use process below, or a chargeback). This runs as a process, not a summary punishment: see "Acceptable use and how it is enforced".

By you. You may stop using Kolwen at any time. A refund follows the Refunds section.

Changes to these Terms

Kolwen gives 30 days' notice of a material change, by email to the address on your account and by a banner on the site and in the app. A change forced by law, security or abuse prevention takes effect at once. If you reject a changed term, you may end the contract and you are refunded the unused part, as in "Ending the contract". At your first sign-in after a change takes effect, you see a one-time screen to review and accept it. A public dated record of each change to these Terms is kept. If an email bounces, that is logged and the in-app screen carries the notice.

Governing law and courts

Thai law governs these Terms, and the Thai courts have jurisdiction. Your rights as a consumer under the law of the place where you live are not taken away by this clause. There is no arbitration clause.

Acceptable use and how it is enforced

The list of prohibited conduct is not written yet. It is an open decision for the owner and counsel, and this section does not guess at it. What is written is how Kolwen acts when it believes a customer has broken a rule, which is a process, in this order:

Notice. Kolwen tells you which clause it believes you broke and gives a summary of the evidence.
Suspension, not termination, while the case is open. If the product is a key, its clock of days stops for the whole case.
A window to answer. You have 14 business days to answer the notice. If the window closes with no answer, the case is still decided, as step 4 says.
A written decision, within 7 business days after your answer or, if you give no answer, within 7 business days after the 14 business days close, on the evidence Kolwen holds. Either the case is dismissed and the account and its key are restored in full, or it is upheld. An upheld decision does not end the contract at once: the account stays suspended, and the key's clock stays stopped, through the appeal window of step 5 and through any appeal.
One appeal to a human against an upheld decision. You have 30 business days after the written decision to file it, through appeals@kolwen.com, and Kolwen answers within 14 business days. If the appeal succeeds, the account and its key are restored in full. The contract is terminated, with no refund, only when the appeal is dismissed or the 30 business days pass with no appeal filed.
A register of cases is kept, so that the same conduct draws the same answer.

A ceiling and what a missed deadline does. The case ceiling is 90 calendar days of Kolwen's own time, counted from the date of the notice. The count pauses while your 14-business-day window to answer is open, from the notice until you answer or the 14 business days close, whichever comes first, and while your 30-business-day window to file an appeal is open, from the written decision until you file the appeal or the 30 business days close, whichever comes first. Only the days outside those windows count toward the 90. If Kolwen misses a deadline of its own (the 7 business days for the decision, the 14 business days for the appeal answer, or the 90-day ceiling), the suspension, including one that follows an upheld decision, is lifted and the key comes back into use. If a deadline of yours lapses (the 14 business days to answer, or the 30 business days to appeal), the case proceeds to its next step.

Chargebacks run on Paddle's track. A bank dispute is handled through Paddle as merchant of record, and Paddle asks Kolwen for evidence. The account is suspended when a chargeback is filed, because the money is gone. It is restored if the dispute resolves in Kolwen's favour or you pay again, and terminated only when the dispute closes against Kolwen. Kolwen does not argue a chargeback with you directly.
